Brazil Condo Assembly Minutes (Ata): Model

The ata is the written record of what a Brazilian condominium assembly decided, and it is what the síndico, the management company and every owner consult afterwards. The printable model, with every field blank, is on the Portuguese page; this page explains it and what the Código Civil says, for readers who need to follow it in English. It is a model, not legal advice: convening, quorum and the form of the ata follow the condominium's convenção and the law, and its lawyer should review the model before it is adopted.
What the Civil Code says, and does not say
- No format. In arts. 1.331 to 1.358-A, there is no list of fields and no format for an ata. The word appears only in the rules on the electronic assembly (art. 1.354-A, § 3º) and on the permanent session (art. 1.353, § 1º, III and IV). What it must contain is a matter for the convenção and for what the assembly requires.
- Everyone must be convened. The assembly may not decide if all the condôminos were not convened (art. 1.354).
- The convenção sets how and with what quorum. It determines the powers of the assemblies, how they are convened and the quorum required (art. 1.334, III).
- The annual assembly has its own agenda. The síndico convenes it every year, in the form set by the convenção, to approve the expense budget, the owners' contributions and the accounts, and possibly to elect a substitute for the síndico and change the regimento interno (art. 1.350).
- Extraordinary assemblies may be convened by the síndico or by a quarter of the condôminos (art. 1.355).
- Who votes. The right to vote in the assembly's deliberations and to take part in them belongs to the condômino who is up to date with payments (art. 1.335, III). The Portuguese model has a field for units that are not.
- The síndico. The assembly chooses a síndico, who need not be a condômino, for a term of at most two years, which may be renewed (art. 1.347). The model has a field for the term.
- Quorum, unless a special one applies. First convocation: a majority of the votes of the condôminos present who represent at least half of the ideal fractions (art. 1.352). Second convocation: a majority of the votes of those present (art. 1.353). Votes are proportional to the ideal fractions unless the convenção says otherwise (art. 1.352, sole paragraph). Changing the convenção takes 2/3 of the votes of the condôminos (art. 1.351).
- Electronic assembly. The ata is drawn up only after all votes are counted and published, and it is also electronic (art. 1.354-A, § 3º). The notice must say the assembly will be electronic and give access, participation and vote-collection instructions (§ 1º), and the assembly may be hybrid (§ 4º).
- Permanent session. When a special quorum is not reached, the assembly may convert the meeting into a permanent session on conditions that include a partial ata of the in-person segment, sent to absent condôminos; the ata of the continuation follows it with all deliberations consolidated (art. 1.353, § 1º, III and IV).
What the model records
- Identification: the condomínio, the type of assembly (ordinary or extraordinary), date, time and place, and whether it was in person, electronic or hybrid.
- Convocation: the date of the notice (edital), the means used and who convened.
- Attendance and quorum: the attendance list, the units and ideal fractions represented, proxies.
- The chair: who presided and who took the minutes.
- Each agenda item: the discussion, the text voted, votes for, against and abstentions, the result and the quorum applied. The model has blocks for the previous minutes, the accounts, the budget and contributions, the election of the síndico and changes to the regimento or convenção.
- Follow-up: who does what by when.
- Closing and signatures.
- Annexes: the notice, attendance list, proxies, reports and drafts voted.
That list is what an ata needs to be checkable later, not a list from the Code.
How Unitify helps, and what it does not do
Unitify does not write the ata, check the quorum or decide whether a decision is valid. An assembly notice reaches residents in the resident app, by email and on the building's website, with read receipts; the notice itself must still follow the convenção and the Civil Code. In resident voting the tool records votes, and validity depends on the law and the convenção; Unitify offers no qualified electronic signature and has no built-in video conferencing, so a virtual assembly uses an outside tool. On the building's website, a document published once, such as the approved ata, reaches residents in the app and shows on the building's page.

Frequently asked questions
How do you write the ata of a condominium assembly in Brazil?
Record the date, time and place, how the assembly was convened, who attended and which units and ideal fractions they represented, who chaired and who took the minutes, each agenda item with the vote and the result, and the closing, then collect the signatures. The Portuguese page has a printable model, and an attendance list, with those fields blank.
Does the Civil Code say what the ata must contain?
Not in arts. 1.331 to 1.358-A, which we read: there is no list of fields and no format. The ata appears only in the rules on the electronic assembly (art. 1.354-A, § 3º) and on the permanent session (art. 1.353, § 1º, III and IV). What the ata contains follows the condominium's convenção and whatever the assembly requires.
What quorum does an assembly need to decide?
Unless a special quorum is required, in first convocation decisions are taken by a majority of the votes of the condôminos present who represent at least half of the ideal fractions (art. 1.352), and in second convocation by a majority of the votes of those present (art. 1.353). Changing the convenção, for example, takes 2/3 of the votes of the condôminos (art. 1.351). The convenção also determines the quorum required (art. 1.334, III).
Do all owners have to be convened?
Yes: art. 1.354 says the assembly may not decide if all the condôminos were not convened to the meeting. That is why the ata records the notice, its date and the means used.
Who signs the ata?
The Civil Code does not say. Usually the chair and the secretary of the assembly sign, and the convenção or the assembly may require other signatures, such as the attendance list. Check your convenção.
Does an electronic assembly also have an ata?
Yes. Article 1.354-A, § 3º, says the ata, also electronic, is drawn up only after all the votes are counted and published, and the general assembly is closed.
