Questions a Corporation board, property manager or managing agent in Kenya asks
Can we hold the AGM online and vote online?
Yes, if the Corporation's by-laws allow it. Kenya's statutory default by-laws define a general meeting as one that may be convened physically, virtually, or as a hybrid of the two, and say that where a meeting is held virtually, owners or their proxies may vote virtually — permission only, with no technical specification attached. Unitify records the vote; whether a given resolution is valid is a matter for the Corporation's own by-laws and, if it is disputed, for the Dispute Resolution Committee or the Environment and Land Court.
How are contributions calculated?
By unit factor. Every unit in a Kenyan sectional-property parcel carries a whole-number unit factor endorsed on the registered sectional plan, and the unit factors for the parcel always total 10,000. A contribution levied on the Corporation's members is apportioned in that same proportion — so the same number drives the ledger and, on any vote taken by poll, the ballot.
What happens with arrears?
A contribution becomes due when the Corporation passes the resolution levying it, and both the owner at that time and the owner when proceedings start are jointly and severally liable for it. Where the by-laws allow it, the Corporation may charge interest, capped by default at the Central Bank of Kenya's base lending rate. It can also register a caution against the defaulting owner's title, which gives it a charge over the unit ranking from the date of registration, to be withdrawn within thirty days of payment — and on request it must certify what was levied, how it is payable, how much has been paid and the interest owing, with that certificate standing as conclusive proof.
How do residents pay?
The way Kenyans already pay: M-PESA, through the building's Paybill or Till or an M-Pesa Express prompt on the handset, PesaLink account-to-account from a bank app, internet banking or bank USSD, or a bank transfer. Unitify records and reconciles the payment — these are payment methods residents already use, not a Unitify integration with any of the rails themselves.
Do we need to register with the Data Commissioner?
Your property manager does, and so does any building running security cameras. Kenya's Data Protection Act exempts small controllers and processors from mandatory registration, but that exemption is switched off for anyone processing personal data for a purpose the regulations name in their Third Schedule — and that schedule lists both "property management including the selling of land" and "crime prevention … including operating security CCTV system". So a property manager, and any building running cameras, registers with the Office of the Data Protection Commissioner regardless of size. Whether a Corporation that manages itself and runs no cameras is caught is not settled on the face of the regulations — ask a Kenyan adviser.
Does the developer have to hand over documents?
Yes. The owner of the land at the time the sectional plan is registered must give the Corporation, free of charge and within a hundred and eighty days of registration, the warranties and guarantees, the structural, electrical, mechanical and architectural drawings, the as-built drawings, the underground-services plans, every agreement the Corporation is a party to, and every county permit — the same equipment-and-documents register Unitify's own equipment module is built to hold.
Is a managing agent mandatory?
No. Engaging a property manager is the Corporation's choice, not a legal requirement — the Act lets the board procure one "as they deem necessary", nothing more. One statutory wrinkle worth knowing: a management agreement signed while the board is still developer-controlled cannot be cancelled without cause for two years from the day it was entered into — unless the agreement itself allows an earlier exit — and then only on sixty days' written notice.
