SVJ Committee in Czechia: Pay, Liability and Term of Office

SVJ Committee in Czechia: Pay, Liability and Term of Office

The výbor (committee) is the statutory body of a Czech SVJ (společenství vlastníků jednotek, owners' association) unless the statutes appoint a single předseda (chair). The statutes set the term and the number of members. The shromáždění (owners' assembly) decides the pay; the law gives no figure. A member is liable to the SVJ's creditors only after breaching a duty and failing to compensate the damage. The law is quoted in the original Czech.

Who is the statutory body of an SVJ?

The rules are in the Czech Civil Code (občanský zákoník, zákon č. 89/2012 Sb., OZ) and Government Regulation No. 366/2013 Sb.

The assembly is supreme; the statutory body is the committee unless the statutes choose a chair. So an SVJ without a committee is possible. The chair is also a member of an elected body, so the rules below apply to them too.

A member needs full legal capacity and good repute in the sense of the trade licensing law. Where a legal person is a member, its representative on the body must meet these conditions.

How long is the term of office, and how many members are there?

The statutes decide both. They must contain:

„určení orgánů, jejich působnosti, počtu členů volených orgánů a jejich funkčního období, jakož i způsobu svolávání, jednání a usnášení“ (OZ § 1200(2)(d))

That is, the bodies, their powers, the number of elected members and their term of office. For a spolek (association) there is a fallback:

Five years, if a spolek's statutes set no term. An SVJ's statutes must set the term anyway, so this is only a fallback by analogy through § 1221 OZ. If your statutes are silent, have a lawyer review them.

Who decides the committee's pay, and how much is it?

The assembly. Its powers include:

„volba a odvolávání členů volených orgánů a rozhodování o výši jejich odměn“ (OZ § 1208(b))

The law sets no amount: the pay is what the assembly approves. Put the proposal on the agenda in the meeting notice and record the approved amount in the minutes (both templates in Czech).

Contributions for paying the members of the SVJ's bodies are split equally per unit, not by share. We do not cover the tax or insurance treatment of the pay here; ask an accountant.

What is a member liable for, and when are they liable to creditors?

Whoever accepts the office must act with the necessary loyalty, knowledge and care. A member who is not capable of that care and does not draw the consequences is presumed negligent.

So is the chair liable with their own assets? Not automatically. Only if they breached a duty, caused the SVJ damage, did not compensate it, and the creditor cannot recover from the SVJ. And only up to the uncompensated damage. Keep every decision documented: papers, minutes, correspondence.

What can the committee decide on its own?

Unless the statutes say otherwise, Regulation 366/2013 Sb. sets these limits:

Movable assets up to CZK 10,000 in total per calendar year; repairs or alterations of common parts up to CZK 1,000 per unit on average in each case. The repair limit does not apply to emergency repairs. Above the limits, the assembly decides.

Only the assembly elects and dismisses committee members, gives prior consent to a loan, appoints and changes the outside manager (správce), and approves the budget, the financial statements and the total contributions for managing the building and land (OZ § 1208(b), (c), (f), (g)).

The deadlines an SVJ must meet for service charge statements are covered in SVJ service charge statement deadlines.

What if the committee does not work?

Only the assembly elects and dismisses the committee. If the committee will not convene the assembly, the owners have a tool:

Owners holding more than a quarter of all votes (at least two) can ask the committee to convene the assembly. If it does not, they convene it themselves at the SVJ's cost, with dismissal and election of committee members on the agenda. If that assembly has no quorum, the convener may propose a vote outside the meeting (per rollam) on the same matters (OZ § 1211(1)).

What Unitify does

Notices to owners, such as news of a new committee, go out in the resident app, and you choose the text and the language. Owners can vote in the app, and you follow participation and the votes per unit. The app records votes, but whether such a vote counts under the law is a question for the SVJ's lawyer: a per-rollam vote requires a handwritten signature on a document (OZ § 1212). Minutes, annexes and signed scans are stored per building and can be published to owners. Charges and arrears are tracked per unit, with reminders. The app interface is in English for now and is set up for each project. There is no Czech interface yet: the task is filed, and we do not promise a date.

Frequently asked questions

How long is the term of office of an SVJ committee?

As long as the statutes say. The statutes must always state the term of office of the members of elected bodies (OZ § 1200(2)(d)). The five-year term in OZ § 246(1) applies to a spolek whose statutes set none, and reaches an SVJ only by analogy, as a fallback, through § 1221 OZ.

Who decides the pay of an SVJ committee, and how much is it?

The shromáždění (owners' assembly) decides the pay of members of elected bodies (OZ § 1208(b)). The law sets no amount. Contributions for paying the members of the bodies are split equally per unit (OZ § 1180(2)).

Is the chair of an SVJ personally liable with their own assets?

Not automatically. A member of an elected body is liable to the SVJ's creditors only if they caused the SVJ damage by breaching a duty, did not compensate it, and the creditor cannot recover from the SVJ. The liability is capped at the uncompensated damage (OZ § 159(3)).

How many members does an SVJ committee have?

As many as the statutes set. The number of members of elected bodies is part of the required content of the statutes (OZ § 1200(2)(d)). A member must have full legal capacity and be of good repute in the sense of the trade licensing law (OZ § 1205(2)).

Can an SVJ have no committee?

Yes. The statutory body is the výbor (committee) unless the statutes make the předseda společenství vlastníků (chair) the statutory body instead (OZ § 1205(1)). The SVJ then has no committee and the chair acts for it.

What can an SVJ committee decide without the assembly?

Unless the statutes say otherwise, movable assets up to CZK 10,000 in total per calendar year, and repairs or alterations of common parts up to CZK 1,000 per unit on average in each case. The repair limit does not apply to emergency repairs (NV 366/2013 Sb. § 13(1)–(2)).
